These terms govern services provided by XORH VENTURES FZE LLC, trading as XorhVerse. Fixed pricing only works when both sides know where the lines are.
Who you are contracting with.
We are licensed to provide, among other activities, Software Development Services, Computer Systems & Communication Equipment Software Design, Project Management Services, Marketing Services Via Social Media and related e-commerce services. Engaging us — by accepting a proposal, paying a deposit or instructing us to begin work — means you accept these terms.
The price is fixed because the scope is fixed.
Inside scope
Anything inside the agreed scope is included. No additional charges, no hidden fees.
Outside scope
Anything outside the agreed scope gets a separate fixed price before work begins. Nothing is charged without your approval.
What counts as a revision
A revision adjusts something already created inside the agreed scope. New pages, new functionality, new integrations, new design directions after approval, major structural changes and changes to the original brief are change requests, quoted separately.
Paid directly by the client.
Where applicable, clients pay third-party costs directly. It keeps our pricing transparent and fixed.

1. Delivery timelines
Delivery windows quoted in working days start once we have the deposit and all content, access and approvals required. Delays in feedback, content or third-party access pause the clock. We will always tell you when that happens.
2. Client responsibilities
You confirm you own, or have the right to use, all content, brand assets and data you supply, and that the project does not breach any law or third-party right. You are responsible for maintaining your own accounts, billing and legal compliance for services held in your name.
3. Intellectual property
On receipt of full payment, ownership of the final deliverables produced specifically for you transfers to you. We retain ownership of our pre-existing tools, frameworks, internal components and know-how, and grant you a perpetual, non-exclusive licence to use them as part of your deliverables. Third-party assets remain under their own licences.
4. Portfolio rights
Unless you ask us in writing not to, we may show the work and name you as a client in our portfolio and marketing. Confidential details are never published.
5. Confidentiality
Both sides keep non-public information shared during a project confidential and use it only to deliver or receive the services.
6. Warranty and support
We fix defects in our own work, reported within 14 days of launch, at no charge. This does not cover changes of scope, third-party outages, edits made by others, or new browser or platform requirements. Ongoing maintenance is available under a XorhVerse Care plan.
7. Cancellation and refunds
You may cancel at any time in writing. Deposits cover reserved delivery capacity and work already performed and are non-refundable. Any amount paid beyond the value of work completed at the cancellation date is refunded. Projects left inactive for more than 60 days may be closed and re-quoted.
8. Liability
To the fullest extent permitted by law, our total liability arising out of or in connection with a project is limited to the fees you paid us for that project. We are not liable for indirect or consequential loss, including lost profits, revenue, data or business interruption.
9. Privacy
Personal data is handled in line with our privacy policy, which forms part of these terms.
10. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman and the Ajman Nuventures Centre Free Zone (ANC), Government of Ajman. Disputes are subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
11. Changes to these terms
We may update these terms from time to time. The terms in force when your project is agreed apply to that project.
